Allocary Terms of Service

These Terms govern your use of Allocary, operated by Odin Integrated Technologies LLC ("we," "us"). By connecting Allocary to QuickBooks Online or using the service, you agree to these Terms.

Allocary is a cash-management tool, not a tax filing service. It reads amounts your QuickBooks already calculated (or that you enter), moves money only between accounts you own, and sends reminders. It does not calculate tax, set tax rates, audit your data, hold your funds, or remit taxes.

1. What Allocary is

Allocary computes money set-aside/allocation amounts (including Profit First-style allocations and tax/reserve buckets) and reminds you when to act. At your direction it can prepare internal transfers between accounts you own and control inside QuickBooks Online.

2. What Allocary is NOT (important)

• Allocary is not a bank, money transmitter, payment processor, or custodian. We never hold, receive, or transmit your funds.
• Allocary is not tax, accounting, legal, or financial advice. Amounts are planning aids only. You are responsible for verifying figures, filing, and paying any taxes owed.
• Allocary does not file or remit taxes on your behalf.

3. Your responsibilities

You are responsible for your QuickBooks setup (including tax rates and account structure), for confirming every transfer, and for meeting all filing and payment deadlines. You represent that you are authorized to connect the QuickBooks company you link.

• Data accuracy: The accuracy of any set-aside amount depends on the data provided by your Point of Sale (POS) or accounting system. Allocary does not audit your sales data for taxability accuracy.
• Filing frequency: Reminders are generated based on the filing frequency you select during setup. It is your sole responsibility to notify Allocary of any changes to your state-mandated filing cadence.
• Professional advice: You are advised to consult your own tax professional to ensure total compliance with O.C.G.A. (Official Code of Georgia Annotated) and other applicable requirements. Allocary does not provide tax, accounting, or legal advice.

4. Authorization and disconnect

You authorize Allocary to access your QuickBooks data via Intuit OAuth for the purposes described in our Privacy Policy. You may disconnect at any time; on disconnect we stop accessing your data and delete stored tokens.

5. Fees

Paid plans, if any, are described at sign-up. Fees are billed by us (or our payment processor) per the plan you select. Sandbox/demo use is free.

6. Disclaimer of warranties

The service is provided "as is" without warranties of any kind. We do not warrant that computed amounts are error-free or that the service will be uninterrupted.

7. Limitation of liability

To the maximum extent permitted by law, Odin Integrated Technologies LLC is not liable for indirect, incidental, or consequential damages, or for any tax penalties, interest, missed deadlines, or losses arising from your use of the service. Our aggregate liability will not exceed the fees you paid in the prior 12 months.

8. Indemnity

You agree to indemnify us against claims arising from your misuse of the service or violation of these Terms.

9. Hold harmless (penalties & interest)

You acknowledge that Allocary does not file returns, calculate tax, verify your filing schedule, or remit funds to any tax authority, and that all such obligations remain yours. You agree to hold harmless and release Odin Integrated Technologies LLC and Allocary from any and all tax penalties, interest, assessments, missed deadlines, over- or under-payments, or other losses arising from your reliance on the service, the accuracy of your QuickBooks/POS data, or the filing frequency you selected. Allocary provides computations and reminders only; the responsibility to file and pay correctly and on time is solely yours.

10. Changes and termination

We may update these Terms or suspend/terminate access for violation. Continued use after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules.
